What exactly am I buying when I invest?
Let's break down exactly what you're purchasing with your investment:
Shares in a company: You're buying ordinary shares in a limited company (the SPV) that owns or will own a specific property. These are real shares, just like buying shares in any other company.
Proportional ownership: Your shares represent a percentage of the company equal to your investment proportion. If the project raises £100,000 and you invest £1,000, you own 1% of the company (and indirectly, 1% of the property).
Economic rights: Your shares entitle you to your proportion of any profits when the property is sold, any income if the property generates rent (though most UOWN projects don't), and any remaining assets if the company is wound up.
What you're NOT buying: Direct property ownership (your name won't be on the Land Registry), a guaranteed return or fixed interest payment, a physical portion of the property you could inhabit or use, or a tradeable security (you can't easily sell these shares).
The investment process: Your money goes into the project's SPV, the SPV uses pooled funds to buy land or property, development happens (construction, renovation, etc.), the property is sold, the SPV pays off any debts and expenses, and remaining profits are distributed to shareholders proportionally.
Your rights include: Receiving your share of profits, getting updates on the project, having your investment protected by the SPV structure, and theoretical voting rights (though usually proxied to UOWN for practical reasons).
Your obligations: Once invested, you have no further obligations. You don't need to contribute more money, make any decisions, or take any actions. It's passive investment.
Documentation: After investing, you'll receive confirmation of your shareholding. While you won't get physical share certificates (it's all digital), your ownership is legally documented.
In essence, you're buying a stake in a property development project, packaged as shares in a company. It's a way to participate in property development profits without needing huge capital or development expertise.
